E-PUBANA Store is a multi-functional platform of online sellers and buyers. A store you can sell and buy legal products without necessarily having a physical store. The store serves as the intermediary between the sellers and the buyers. Seller and Buyer would have no physical interface. Seller shall only deal directly with the store and in the name of the store (E-PUBANA) but can monitor live how his/her rented online store is progressing under the complete purview of E-Pubana team.

E-PUBANA NIGERIA LIMITED

Terms binding Seller(s) and Buyer(s) on E-Pubana Store. Seller’s application and buyer’s application. Terms can be changed or modified at anytime without notice to any user of the platform.

E-PUBANA NIGERIA LTD. shall be referred to as: “Store” and “E-Pubana” concurrently.

1. Introduction

1.1 These Terms and Conditions govern your use of E-Pubana Nig Ltd and any Sales and Purchases made through our website www.pubana.com or mobile application.

1.2 By accessing or using the E-Pubana online store, you agree to be bound by these Terms. If you do not agree, please do not use the Store or proceed to check the box.

2. Definitions

2.1 "Customer" means the individual or entity making a purchase through the Store.

2.2 "Order" means the customer's request to purchase one or more Products.

2.3 "Product" means any legal item offered for sale through the Store.

2.4 "Seller" means the individual or entity making a sale and/or wanting to have a store online with the store using the store to sell their products.

3. General Terms

3.1 The Store reserves the right to modify these Terms at any time without notice and any changes will be effective immediately.

3.2 The Store may change or discontinue any Product(s) without notice.

3.3 The Customer is responsible for ensuring the accuracy of their order and no liability(ies) shall be undertaken by E-Pubana store in the event of any issues arising due to inaccurate or incorrect Order(s).

4. Seller's onboarding and posting of products

4.1 To post products on the Store’s platform, sellers shall first register with accurate and complete information. Sellers interact only with E-Pubana Store as the Sole seller.

4.2 The information supplied by the seller shall undergo verifications before it would be confirmed for the seller to have access to the E-Pubana online Store and this could take 24 hours.

4.3 All products to be posted for sale on the Store must be legal items and not contraband products.

4.4 All posts with short videos to promote the products on the store shall be scrutinized before approval is granted for uploading and this shall be within 24 hours of posting. This shall also be applicable to pictures.

4.5 There shall be automatic approval for videos and pictures that do not violate any of the policies of the company and Nigeria Law to be uploaded immediately.

4.6 Short video adverts shall not be longer on a product and shall not be produced in the name of the seller or its affiliates but shall be done solely on the products of E-Pubana which would use them for purposes of promotion of sales of the products.

4.7 Sellers shall be categorized as follows: Platinum, Gold, Silver, Bronze and Entry level. These categories shall be associated with percentages to be deducted from every sale made for the sellers.

4.7.1 Platinum Sellers shall be given exclusive exposure on their products to be sold as soon as possible with a charge of 20% deduction on each sale made by the Store.

4.7.2 Gold Sellers shall be given exclusive exposure on their products to be sold as soon as possible but with less priority than is given to Platinum sellers and this shall attract a charge of 16% deduction on each sale made by the Store.

4.7.3 Silver Sellers shall be given exclusive exposure on their products to be sold as soon as possible but with less priority than is given to Gold sellers and this shall attract a charge of 12% deduction on each sale made by the Store.

4.7.4 Bronze Sellers shall be given exclusive exposure on their products to be sold as soon as possible but with less priority than is given to Silver sellers and this shall attract a charge of 8% deduction on each sale made by the Store.

4.7.5 Entry Sellers shall be given exclusive exposure on their products to be sold as soon as possible but with less priority than is given to Bronze sellers and this shall attract a charge of 5% deduction on each sale made by the Store.

4.7.6 For the first 3 months, no retainership fee shall be charged on the seller's online store, but subsequently, the sum of five thousand naira Only (N5,000) shall be charged across board on all the categories of sellers and if a seller fails to pay this certain amount for 2 or 3 consecutive times, the E-Pubana reserves the right to block the defaulting seller and subsequently removed him without notice.

4.7.7 E-Pubana Store reserves the right to change the charges on both the service charges on the sellers’ categories and also on the retainership charges on the store at any time without notice to the sellers.

4.8 Sellers shall determine the prices of his/her products before posting on the store. However, E-Pubana reserves the right to advise the seller on the appropriate pricing in accordance to the market value of any product.

4.8.1 Sellers shall only post products in the name of the Store E-Pubana and not in their names while E-Pubana will promote the products or take custody of the goods as its own and promote them for sale.

4.8.2 Sellers shall have the right to monitor the progress of his/her products on the platform as the store tries to sell the product as quickly as possible using the power of adverts and other means at its disposal.

4.8.3 Sellers shall never be linked to buyers at any time but shall have their whole transactions only with E-Pubana Store at all times. Any post trying to suggest address, phone numbers and/or any means of contacting the buyers behind the Store shall be blocked and regarded as a breach of these Terms and Conditions and this could lead to appropriate legal action being taken against defaulting seller.

4.8.4 Sellers shall be expected to make available item(s) posted on the Store any time the Store requests for them and this shall be within 12-18 hours of notification from the Store.

4.8.5 Sellers who fail to provide item(s) displayed on the Store platform shall be fined double of their percentage charges depending on the category they belong on the next sales or seller be blacklisted from using the store platform.

4.8.6 Any Seller who displays any item for sale with the intention of perpetrating fraud shall be summarily blacklisted and delisted from the Store's sellers’ platform and shall never be restored to E-Pubana.

4.8.7 Any seller who displays an item different from what shall be supplied shall be fined to the value of that item(s), doubled the percentage charges fee on the category he/she belongs and shall also be blacklisted to operate on the store platform for a duration deem fit and according to the discretion of the management of the store.

4.8.8 Sellers shall display more than one unit of a particular product in order to facilitate possible replacement should the need arise for a buyer to exchange a product bought initially with another within the warranty window period specified by the Store.

4.9 The Store reserves the right to accept or reject any Seller and his/her products without any obligation to give any reason for the decision.

4.9.2 The store reserves the right to return items already purchased from the Store to sellers for refund and/or exchange as long as the buyers of the purchased items return them within 24 hours of purchase for the location within close proximity and 48-72 hours for those in a far proximity of our physical outlet or warehouse. These items MUST not be perishable item(s).

4.9.3 All complaints from the sellers shall be handled by the Store's experts and support team accordingly and within some reasonable time at the discretion of the Store but shall not exceed 24 hours.

5. Buyer’s onboarding on the Application

5.1 Buyers shall be allowed to download the E-Pubana App anytime for use and free of charge.

5.2 Buyers shall make purchases according to their desires, as might have been added in the cart option.

5.3 Buyers shall only interact with E-Pubana Store as the sole seller.

5.4 Buyers are required to fill all the necessary and correct details in the application.

5.5 Buyers with the intention of defrauding the Store shall summarily be blacklisted and blocked from using the Store Application and if necessary serious legal action shall be taken against such suspected buyers including criminal prosecution.

5.6 A seller can also be a buyer on the Buyers’ platform.

5.7 The Store shall not be held responsible in respect of any claim as to merchantable quality of products as long as the products displayed on the Store's platform matches the products supplied or delivered to the Buyer(s).

6. Ordering and Payment — BUYERS

6.1 To place an order, customers must provide accurate and complete information of the products they desire to purchase.

6.2 Payment must be made in full at the time of order using an approved payment method as specified on the website and the applications.

6.3 The Store reserves the right to cancel orders if payment is not received and confirmed within 24 hours or order is considered invalid.

6.4 The Store shall notify buyers through the means of email or phone messages of the success of their payment and shall also give notice on delivery of the items purchased. (See Shipping and Delivery of Products).

7. Posting and Payment — SELLERS

7.1 Seller(s) shall be allowed to post as many products as possible on the platform of the Store and have as many stores as desired either under the same name or different names but all products posted shall not be projected to the buyers as direct from the Sellers but as direct from the E-Pubana Store.

7.2 When a product is posted and purchased by a buyer and duly paid for, the Seller shall be informed and Seller can also monitor the progress online.

7.3 Payment shall be remitted to the Seller within 24 hours after all verifications has been done on the product purchased and payment for the product confirmed. However, this shall depend on the receiving bank.

8. Shipping and Delivery

8.1 Shipping rates and delivery timelines are estimated and may vary accordingly to locations within the country.

8.2 All shipping and delivery shall be handled by E-Pubana Store.

8.3 E-Pubana Store shall make available a pickup point for those Buyers who want to pick up their products by themselves.

8.4 Any Buyers who choose to pick up his/her items shall signify in the column that shall be provided in the options for delivery.

8.4.1 All Pickup options shall require the Store team to notify the Buyers of the items availability and date for pick up.

8.5 The Store is not responsible for delays or losses caused by third-party shipping providers, should the buyer(s) provided one as an option for pickup instead of appearing in person.

8.6 Customers are responsible for ensuring that someone is available to receive the delivery when the Store’s delivery team has notified them of the delivery date and probably estimated time of delivery (ETD).

9. Returns and Refunds

9.1 Customers may return Products within 24 hours of delivery for a refund or exchange for those in the near proximity to the store outlet or warehouse as specified and 48-72 hours for those in far place to the outlet or warehouse of the Store.

9.2 Refunds shall be processed within 48 hours of receiving the returned products for those in close proximity of the store and 72-120 hours for those in a far place to the Store outlet or warehouse.

9.3 Returned item(s) or product(s) shall ONLY be non perishable product(s) and also refund or exchange of item(s) or product(s) shall also be for non-perishable items.

10. Product/Item Description and Pricing

10.1 The Store strives to accurately describe Products, project products and advertise products, but errors may occur. However, neither the seller nor buyer shall hold the Store accountable for this error.

10.2 Prices of products are subject to change without notice to the buyers but sellers shall be able to see and monitor activities on the application.

10.3 The Store reserves the right to limit quantities or cancel orders due to pricing errors.

10.4 Pricing errors shall be quickly considered for necessary rectification as may be possible to do.

11. Intellectual Property

11.1 All contents on the Store's website and mobile application are owned by E-Pubana Nig Ltd.

11.2 Neither the Seller nor the Buyer may reproduce, distribute, or modify any content without express permission of E-Pubana Nig Ltd Management.

12. Liability and Indemnification

12.1 The Store is not liable for any damages or losses resulting from the use of the Store or Products.

12.2 Customers (Sellers and buyers) agree to indemnify and hold harmless E-Pubana Nig Ltd and its affiliates.

13. Governing Law

13.1 These Terms are governed by and construed in accordance with the laws of Lagos State of Nigeria.

13.2 Any disputes arising from these Terms will be resolved through dispute resolution process and the Courts of Law with requisite jurisdiction as the case may be.

14. Security and Data Protection

14.1 The Store shall take reasonable measures to protect user's data.

14.2 Users agree to provide accurate and complete information.

15. Termination

15.1 The Store reserves the right to terminate or suspend customer accounts or access to the Store without notice.
